CNN —Actress Sophia Bush has come out as queer, a year after announcing that her short-lived marriage had ended. The 41-year-old star of “One Tree Hill” has opened up about her love life in an intimate feature-length magazine article. Instead of running away, I doubled down on being a model wife,” she wrote. Among them was former soccer player Ashlyn Harris, whom Bush said she had known for four years and who was splitting from her wife and former teammate, Ali Krieger. She described “falling in love” with Harris, adding: “I sort of hate the notion of having to come out in 2024.

Ehrenpreis is also a close friend to Kimbal Musk, Elon’s brother, who is also a Tesla board member. In another instance, the judge emphasized the role of Tesla’s general counsel Todd Maron — who was previously Musk’s divorce lawyer — in advising Tesla’s board and compensation committee. Maron was “totally beholden to Musk,” McCormick wrote in her ruling last week, adding that Maron’s admiration for Musk “moved him to tears” during both his deposition and in trial testimony. Maron’s team prepared “an aggressive timeline for approving a compensation plan,” McCormick wrote in her more than 200-page ruling. The break-neck speed of the process “reflected a reckless approach to a fiduciary process.”Robyn Denholm, the Tesla board chair, doesn’t appear to have had any personal relationship with Musk outside of her service on the board, McCormick wrote.

Twitter added a "US state-affiliated media" label to NPR's account on Tuesday. NPR reported Thursday that Elon Musk told the outlet the tag might be an error after learning more about the outlet. Elon Musk said his "extremely good" track record made getting investment support easy, per AP. Musk said he had "no ill motive" by tweeting his "funding secured" tweet in 2018, AP reported. During a trial over accusations that Musk committed securities fraud, he said: "It is relatively easy for me to get investment support because my track record is extremely good," per AP. Recently in court, Musk testified that he had "no ill motive" and his "intent was to do the right thing for all shareholders," AP reported. Musk said in court on January 24 he could have sold enough SpaceX stock to fund a Tesla buyout.
A SpaceX director told Twitter staff to show empathy for Elon Musk after mass layoffs, per Bloomberg. Staff have called Gracias and other people Musk has brought into Twitter as "goons," per the report. Twitter employees have referred to these people as "the goons," per Bloomberg. Gracias, Twitter, and SpaceX didn't immediately respond to Insider's request for comment made outside of normal US operating hours. It follows the loss of thousands of Twitter employees through firings, layoffs, and resignations since Musk bought the platform in late October.
Ever since, he has enlisted high-ranking executives and engineers from his other businesses, including SpaceX, Tesla and The Boring Company, to help out at the social media company, according to internal records obtained by CNBC and conversations with recent Twitter employees. Musk has also enabled partners from investment firms who participated in the Twitter buyout access to work within the social media company. In his testimony, Musk characterized Tesla employees' work for him at Twitter as "just a voluntary thing." He also said: "This was sort of an after-hours, just if you're interested in evaluating the -- helping me evaluate Twitter engineering, that would be nice. In addition to Tesla employees, Musk has also enlisted execs and employees from SpaceX, the reusable rocket and satellite internet services company he founded in 2002, to help him at Twitter.
[1/2] Elon Musk, Chief Executive Officer (CEO) of SpaceX, Tesla and Twitter, arrives for a trial about his Tesla pay package at the Delaware Court of Chancery in Wilmington, Delaware, U.S., November 16, 2022. "The amount of pain, no words can express," Musk testified on Wednesday. The package allows Musk to buy 1% of Tesla's stock at a deep discount each time escalating performance and financial targets are met. "It wasn't a knock-down, drag-out affair," Todd Maron testified about the pay talks in 2017 when he was general counsel. You could almost make an argument they didn't pay him enough because he ran off after Twitter."

Washington, DC CNN —The trial for the Tesla shareholder lawsuit examining CEO Elon Musk’s unprecedented compensation package will wrap up this afternoon. The net value of the compensation package is $50.9 billion today, after Tesla’s valuation soared more than 1,000% at its peak since shareholders approved the package. Several corporate governance experts told CNN Business that it’s clear Tesla’s board of directors lacks independence from Musk. At the time of the 2018 compensation package, Kimbal said it was “very unlikely” that Elon would walk away from his role of CEO at Tesla. That’s just not how Elon operates,” Kimbal Musk said.
Tornetta accuses Tesla’s board of breaching its duties to shareholders. The pay package from Tesla’s board granted Musk large sums of shares every time Tesla hit certain milestones, including earnings and share price targets. In this sketch, former Tesla board member Antonio Gracias testifies in court. Ehrenpreis also had the rights to the first Model 3, Tesla’s breakout product, but gave it to Elon Musk as a birthday gift. Ehrenpreis is also the Tesla board member who asked consultants if hypothetically Tesla could lower the disclosed costs of Musk’s compensation plan.
WILMINGTON, Del (Reuters) -Elon Musk said in court on Wednesday that he made some Tesla Inc decisions without the approval of the company’s directors, as he defended his $56 billion pay package against claims that he dictated its terms to a compliant board. Questioned by Tornetta’s lawyer, Greg Varallo, Musk rejected claims that his pay package goals were easy to achieve. An email from May 2017 appeared to establish that Musk was pushing for the pay plan months before the board negotiated it with him. Antonio Gracias, a venture capital investor and longtime friend of Musk who was also a Tesla board member from 2007 to 2021, took the stand after Musk testified. The disputed Tesla package allows Musk to buy 1% of Tesla’s stock at a deep discount each time escalating performance and financial targets are met.

Washington, DC CNN —Tesla headed to court today to defend the huge compensation package that helped make CEO Elon Musk the richest person on Earth. Even in the rarified air of CEO pay, Musk’s compensation plan stood apart. The Tornetta complaint alleges that the board of directors that created Musk’s compensation plan lacked sufficient independence from him. “This is a huge package,” Hayn said of the compensation plan. Tesla leadershipHayn noted that Musk’s close relationships with the board members could be problematic for Tesla in the case.

REUTERS/Adrees LatifCompanies Twitter Inc FollowTesla Inc FollowWILMINGTON, Del., Nov 7 (Reuters) - As Elon Musk is engulfed in his overhaul of Twitter, the entrepreneur is headed to trial to defend his record $56 billion Tesla Inc pay package against claims it unjustly enriches him without requiring his full-time presence at the carmaker. The disputed pay package allows Musk to buy 1% of Tesla's stock at a deep discount each time escalating performance and financial targets are met; otherwise Musk gets nothing. Does Elon Musk work for the board or does the board work for Elon Musk," said Minor Myers, a professor at UConn School of Law. Myers said if the pay package is rescinded, the board could simply create a new one and do so with McCormick's ruling to guide them.

Twitter employees are expecting a 50% overall reduction in force after Tesla and SpaceX CEO Elon Musk took the reins of the social network last week. Gracias is a long-time investor in Musk's other companies, including SpaceX and Tesla, and was a Tesla board member. A calendar item for the reduction in force related meeting was made widely visible, possibly accidentally, to employees at Twitter on their internal systems. As CNBC previously reported, Musk quickly brought many trusted advisors and employees from his other companies into Twitter to advise him on next steps after the deal closed last week. After acquiring Twitter for $44 billion last week, Musk is scrambling to improve margins, including by slashing headcount and operating expenses and finding new ways to generate revenue.
Parag Agrawal canceled an interview with Elon Musk's lawyer the day before it was set to take place. Musk is expected to be interviewed later this week as part of the ongoing lawsuit. The Twitter CEO was set to be interviewed for 10 hours in San Francisco on Monday in a deposition scheduled to start at 9 am local time. Agrawal was to be questioned at length by Musk's New York-based lawyer Alex Spiro, a partner at Quinn Emanuel Urquhart & Sullivan. On Sunday, lawyers for Twitter emailed Musk's side to cancel Agrawal's deposition, citing "personal reasons."
